Medical Director Hub provides a range of information, tools, consulting, and administrative services, including our matching services for medical directors and healthcare professionals (collectively, the “Services”) and access to our website (www.medicaldirectorhub.com), web and mobile pages, software, and Portals (collectively, the “Sites”).
Medical Director Hub, its subsidiaries, affiliates, and brands (“Medical Director Hub”, “we”, “us”, “our”), provides you access to use the Services and Sites contingent on your full agreement to these “Terms of Use” (“Terms”) and our Privacy Policy.
IMPORTANT LEGAL NOTICE: AS DETAILED BELOW, UNLESS OTHERWISE EXPRESSLY STATED, ALL DISPUTES UNDER THESE TERMS WILL BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION AND YOU WAIVE YOUR RIGHT TO FILE OR JOIN A CLASS ACTION LAWSUIT OR A CLASS-WIDE ARBITRATION.
Each time you access and use the Sites, you represent and warrant that you are over eighteen (18) years old and that you have the right, authority, and capacity to agree to be bound by these Terms. If you do not or cannot agree to these Terms, you are not permitted to access the Sites. You agree to engage with the Sites only for their intended purpose and not to (or assist or encourage others to) use the Sites to commit illegal acts or violate any local, state, national, or international laws or regulations.
You represent and warrant that your access to and use of the Sites does not and will not infringe, interfere with, or limit the rights of any third party, including intellectual property rights, privacy rights, publicity rights, or any other legal or moral rights. If applicable, you grant Medical Director Hub an irrevocable, perpetual, non-exclusive, sub-licensable, royalty-free, and fully paid license to use, distribute, syndicate, license, reproduce, modify, publish, translate, or create derivative works from and display in any format or medium, any content or materials you transmit or submit via the Sites, including for marketing and advertising purposes, without compensation to you.
You agree and understand that content and materials provided via the Sites (“Medical Director Hub Content”), whether in videos, posts, newsletters, or emails, are provided “as is” and are intended for general interest, discussion, education, and/or informational purposes only. We may also feature or link to individuals, companies, service providers, associations, and third parties (collectively “Other Content”). Some of this content may include affiliate links, advertising, or sponsored content from third parties from whom we may receive compensation.
Medical Director Hub does not make any representations or warranties regarding the accuracy or reliability of the Medical Director Hub Content and is not responsible for the Other Content. Your access, use, or reliance on any of the content is solely at your own risk.
We reserve the right to change these Terms from time to time at our sole discretion. In the event we make modifications, we may take reasonable steps to notify you of the changes, such as posting the effective date of the new terms. If you do not agree with these Terms or any future modifications, your only recourse is to stop accessing the Sites. Continued access to and use of the Sites constitutes your agreement to be bound by these and any future Terms.
As part of our Services, we may offer you access to certain portals or software applications (“Portals”). Medical Director Hub grants you a personal, non-exclusive, non-transferable, and limited license to access and use the Portals solely for your personal use (“Personal License”). You agree not to reverse engineer, decompile, bypass, or disable the code or security measures in our Sites, Portals, servers, network, or communication systems.
You also agree not to create or transmit any content that is offensive, defamatory, or designed to harm, interfere with, or limit the functionality of any computer software, hardware, or telecommunication equipment. You agree not to use data-mining technology or any manual or automatic process to copy, cache, frame, or alter any data from our Sites, network, or databases.
You agree to indemnify, defend, and hold harmless Medical Director Hub, its officers, employees, agents, and affiliates from all losses, liabilities, expenses, damages, claims, and costs, including reasonable attorneys' fees, arising from: (a) any violation of these Terms by you; (b) inaccurate or untruthful content provided by you; or (c) any willful violation of the rights of another. In the event indemnification is necessary, we will have sole control of the defense of any such claim.
All logos, designs, icons, scripts, graphics, materials, data, images, audio and video clips, forms, and software found on our Sites are the exclusive property of Medical Director Hub. You agree not to use, copy, modify, or create derivative works from these materials or remove any of our ownership or copyright notices.
By accepting these Terms, you agree to WAIVE ANY RIGHT TO A TRIAL BY JURY OR JUDGE, and agree that all claims and disputes shall be resolved through binding arbitration on an individual basis and not as part of a class action. In the event of a dispute, the parties agree to first engage in good-faith negotiations before initiating arbitration. You may opt out of this arbitration agreement by sending written notice to contact@medicaldirectorhub.com within 30 days of accepting these Terms.
Arbitration shall take place in accordance with the JAMS Streamlined Arbitration Rules and Procedures. Judgment upon the arbitrator's award may be entered in any court of competent jurisdiction.
You represent and warrant that (i) you are not located in a country subject to a U.S. government embargo, and (ii) you are not listed on any U.S. government list of prohibited parties. If you are a European Union user, you will benefit from any mandatory provisions of the law of the country where you reside.
We reserve the right to limit or terminate your access to our Sites and Services at any time for any reason. In the event of any action, disputes will be brought in the courts of California. Provisions regarding ownership, intellectual property, and limitations of liability will survive the termination of these Terms.
